Job SPECIFICATIONS

Description of Job

Duane Morris seeks an associate with 3-6 years of experience drafting/negotiating commercial and technology transactions agreements, including data licensing as, software license, software as a service, platform technology agreements and consulting services agreements to join its corporate practice group. Candidate should feel comfortable with agreement terms to assist the firm’s Technology Transactions, Licensing and Commercial Contracts Group with the drafting of complex agreements and handle the negotiation of less complex agreements independently. Candidate should understand intellectual property and business issues in contracting and must be familiar with privacy and data security laws. Candidate will also assist with intellectual property matters in connection with M&A transactions; and be knowledgeable about or willing to learn about open source software-related matters and software escrow agreements. Ideal candidate should be a self-starter who is willing to quickly grasp a client’s business and technology in order to draft and negotiate agreements for a client, and will be asked to work on licensing and commercial agreements in many different industries, including data analytics, software/high technology, fintech, healthcare, gaming, education and life sciences. Bar admission required in jurisdiction of practice. EOE/AA/M/F/D/V.
